1. Introduction

These Terms and Conditions ("Terms") govern the relationship between Destiny New Hope Foundation ("the Foundation", "we", or "us") and all persons who engage with, support, join, or otherwise interact with the Foundation - including members, volunteers, donors, partners, beneficiaries, and website visitors (collectively "users" or "parties").

Destiny New Hope Foundation is a non-profit, humanitarian, and development organisation committed to promoting sustainable development, social justice, youth empowerment, education, climate action, gender equality, health, peacebuilding, and community transformation in Kenya and globally.

By engaging with, joining, donating to, or accessing any service of the Foundation, all parties agree to be bound by these Terms and Conditions. These Terms are aligned with internationally recognised principles of transparency, integrity, and public benefit, and are designed to meet the standards of global civil society frameworks including those applicable to organisations seeking ECOSOC consultative status with the United Nations.

2. Definitions

In these Terms, the following definitions apply:

  • Foundation means Destiny New Hope Foundation, a registered non-profit organisation based in Nairobi, Kenya.
  • Member means any individual or institution formally admitted to the Foundation's membership programme under any of the three tiers (Community, Associate, or Full Delegate).
  • Delegate means a Full Delegate member who qualifies to attend international conferences, UN meetings, and high-level forums on behalf of or through the Foundation.
  • Beneficiary means any individual or community receiving support, services, or assistance through the Foundation's programmes.
  • Donor means any individual, institution, or organisation that makes a financial or in-kind contribution to the Foundation.
  • Partner means any organisation, government body, UN agency, or institution formally collaborating with the Foundation under a signed agreement or memorandum.
  • Board means the Foundation's Board of Directors, responsible for strategic oversight and governance.
  • SDGs means the United Nations' Sustainable Development Goals forming the 2030 Agenda for Sustainable Development.
  • ECOSOC means the United Nations Economic and Social Council.

3. Mission & Vision

Our Mission: "Our mission is to restore hope, empower communities, and create sustainable opportunities through innovative programmes, partnerships, and advocacy."

Our Vision: "Our vision is a just, empowered, and sustainable world where every person has dignity, opportunity, and hope."

All activities, programmes, partnerships, and conduct governed by these Terms shall be interpreted and applied in a manner consistent with this mission and vision.

4. Core Values

The following core values guide the Foundation's conduct, governance, and all relationships with stakeholders:

6. Governance Structure

The Foundation maintains a professional governance system designed to ensure accountability, transparency, and effective programme delivery.

6a. Board of DirectorsThe Board holds ultimate responsibility for strategic oversight, governance, and policy approval. Board members serve in a fiduciary capacity and must act in the best interests of the Foundation and the communities it serves.

6b. Executive ManagementThe Executive team, led by the Founder & Executive Director, is responsible for day-to-day operations, programme delivery, financial management, and organisational administration.

6c. Advisory CouncilThe Advisory Council consists of subject-matter experts, community leaders, and international stakeholders who provide technical and strategic guidance. Advisory Council members do not hold executive authority.

6d. Members & VolunteersMembers and volunteers contribute to programmes, outreach, advocacy, and community engagement. All members and volunteers are bound by these Terms and the Foundation's Code of Conduct.

7. Membership Policy

Membership is open to individuals and institutions who support the Foundation's mission and agree to comply with these Terms and Conditions. The Foundation offers three membership tiers:

  • Community Member - Local programme access, network participation, and volunteer opportunities.
  • Associate Delegate - National conference access, SDG briefings, networking events, and donor introductions.
  • Full Delegate - International conference access, UN High-Level Meeting participation, 6,000+ global delegate network, direct donor and funder engagement, and ECOSOC-level representation.

Members shall:• Respect and uphold the Foundation's Constitution, policies, and these Terms. • Promote the Foundation and its mission positively and truthfully. • Participate in Foundation activities ethically, honestly, and constructively. • Refrain from conduct that brings the Foundation into disrepute. • Disclose any conflicts of interest promptly and recuse themselves from related decisions.

Membership may be suspended or revoked for:• Fraud, misrepresentation, or dishonesty. • Abuse of fellow members, beneficiaries, staff, or partners. • Misconduct, harassment, or discrimination. • Undisclosed conflicts of interest. • Wilful violation of these Terms or the Foundation's policies.

Membership revocation shall follow a fair, documented process with an opportunity for the member to respond prior to a final decision.

8. Financial Policy & Donor Rights

The Foundation upholds the highest standards of financial integrity and stewardship in all operations.

Accepted sources of funding include:• Charitable donations (individual and institutional) • Grants from foundations, governments, and UN agencies • Membership fees • Partnership contributions • Fundraising events and campaigns • Social enterprise activities directly aligned with the Foundation's mission

Financial management rules:• All funds shall be managed through auditable financial systems with proper bookkeeping. • Annual independent financial audits shall be conducted and results made available to stakeholders. • All expenditures require Board-approved budget authorisation. • No funds shall be diverted for personal gain, political purposes, or activities outside the Foundation's charitable mandate. • Transparent financial reporting shall be provided to donors upon request. • Donors retain the right to request information on how their contributions were used. • The Foundation may, where feasible, honour donor restrictions on the use of funds.

9. Anti-Corruption & Zero Tolerance Policy

The Foundation maintains an absolute zero-tolerance policy for corruption, fraud, and financial misconduct in all its forms. This includes but is not limited to:

  • Bribery of or by any officer, staff member, volunteer, or partner
  • Fraud, falsification of records, or financial misrepresentation
  • Embezzlement or misappropriation of Foundation assets
  • Misuse of Foundation resources for personal or private benefit
  • Kickbacks or undisclosed commissions in procurement
  • Unethical procurement practices or bid manipulation

Any person found to have engaged in corrupt conduct shall face immediate suspension pending investigation, and may face dismissal, membership revocation, and/or referral to relevant law enforcement authorities. The Foundation reserves the right to pursue all available legal remedies.

10. Conflict of Interest Policy

All Board members, officers, staff, and representatives of the Foundation must proactively disclose any personal, family, or business interests that could influence or appear to influence their decisions in their capacity with the Foundation. Specifically:

  • Disclosure must be made in writing as soon as a potential conflict is identified.
  • Any person with a disclosed conflict must recuse themselves from discussions and votes on the relevant matter.
  • Undisclosed conflicts of interest constitute a breach of these Terms and may result in disciplinary action.
  • Records of all disclosed conflicts and how they were managed shall be maintained by the Board Secretary.

11. Human Rights & Safeguarding Policy

The Foundation is unconditionally committed to protecting the dignity, rights, and safety of all people, and particularly of those in vulnerable circumstances. This commitment applies to all Foundation activities, programmes, partnerships, and events.

The Foundation holds zero tolerance for:• Physical, emotional, psychological, or sexual abuse or exploitation • Harassment, intimidation, or bullying in any form • Discrimination on any grounds • Exploitation of beneficiaries, children, or vulnerable persons

Special protections apply to:• Children (under 18 years) - all child-facing programmes adhere to strict child safeguarding protocols. • Youth and young adults in transitional programmes. • Women and girls, including in empowerment and anti-GBV programmes. • Persons with disabilities. • Refugees, internally displaced persons, and other vulnerable community members.

All suspected safeguarding incidents must be reported immediately to the designated safeguarding officer. The Foundation will investigate and respond to all reports promptly and confidentially.

12. Equality, Inclusion & Non-Discrimination

The Foundation does not discriminate against any person on the basis of gender, race, ethnicity, religion, nationality, disability, age, sexual orientation, social status, political opinion, or any other protected characteristic. Equal opportunity is actively promoted in:

  • All programmes, services, and beneficiary selection
  • Employment, volunteering, and membership
  • Partnership and procurement decisions
  • Leadership and governance appointments

The Foundation is committed to actively working to remove barriers to participation and representation for all marginalised and underrepresented groups.

13. Environmental & Climate Responsibility Policy

The Foundation supports climate responsibility, environmental sustainability, and the principles of the United Nations Framework Convention on Climate Change (UNFCCC) and SDG 13 (Climate Action) and SDG 15 (Life on Land). The Foundation commits to:

  • Tree planting and urban greening campaigns
  • Community waste management and recycling initiatives
  • Renewable energy and clean technology solutions
  • Climate education and community awareness
  • Conservation and biodiversity protection projects
  • Minimising the environmental footprint of its own operations

14. Data Protection & Privacy Policy

The Foundation collects and processes personal data in compliance with applicable data protection laws and privacy principles. All personal data gathered from members, donors, beneficiaries, and users shall be:

  • Collected lawfully, fairly, and transparently for specified, legitimate purposes.
  • Kept accurate, up-to-date, and stored securely with appropriate technical safeguards.
  • Used only for the purposes for which it was collected and not shared with third parties without consent, except as required by law.
  • Retained only for as long as necessary and thereafter securely deleted.
  • Made accessible to the individual upon written request.

The Foundation will not sell, rent, or otherwise commercially exploit the personal data of any individual. Individuals have the right to access, correct, and request deletion of their personal data held by the Foundation.

15. Partnerships & Collaboration Policy

The Foundation may enter into formal partnerships and collaborative arrangements with a range of organisations, provided all partnerships align with the Foundation's mission, values, and these Terms. Eligible partner categories include:

  • National and county government bodies
  • Non-governmental organisations (NGOs) and civil society organisations
  • United Nations agencies, funds, and programmes
  • International development organisations and foundations
  • Private sector companies committed to corporate social responsibility
  • Academic and research institutions
  • Faith-based and community-based organisations

All partnerships must be governed by a signed Memorandum of Understanding (MOU) or formal partnership agreement that specifies roles, responsibilities, resource sharing, reporting obligations, and exit conditions. The Foundation will not enter partnerships that compromise its independence, ethical standards, or mission.

16. Reporting, Accountability & Transparency

The Foundation is committed to maintaining the highest standards of accountability and transparency to all stakeholders. To this end, the Foundation shall:

  • Publish periodic reports (at minimum annual) detailing programme activities, impact outcomes, and financial statements.
  • Make audited financial statements available to donors and members upon request.
  • Maintain a register of all significant partnerships, grants, and funding sources.
  • Respond to lawful and reasonable requests for information from stakeholders within a reasonable timeframe.
  • Maintain minutes and records of all Board and major governance decisions.
  • Report material governance or operational changes to relevant regulatory bodies as required.

17. Commitment to International Standards & Frameworks

The Foundation is guided by and committed to upholding the principles embodied in the following international frameworks:

  • United Nations Charter - human dignity, peace, and international cooperation
  • UN Sustainable Development Goals (SDGs) 2030 Agenda - all 17 goals, with primary focus on SDGs 2, 4, 5, 8, 13, and 17
  • Universal Declaration of Human Rights (UDHR)
  • Convention on the Rights of the Child (CRC)
  • Convention on the Elimination of All Forms of Discrimination Against Women (CEDAW)
  • Paris Agreement on Climate Change
  • ECOSOC Civil Society Participation Principles
  • OECD Guidelines for Non-Governmental Organisations

The Foundation is actively pursuing ECOSOC Consultative Status with the United Nations, which will enable formal participation in UN policy processes and high-level conferences, and expand the Foundation's ability to represent communities in global development dialogues.

18. Amendment Policy

These Terms and Conditions may be amended from time to time by resolution of the Board of Directors, subject to the following conditions:

  • Proposed amendments must be submitted to the Board in writing at least 21 days prior to the meeting at which they are to be considered.
  • Amendments require a simple majority vote of the full Board unless the Foundation's constitution specifies a higher threshold.
  • All amendments must be documented in the Board minutes and the updated Terms distributed to all relevant stakeholders within 30 days.
  • Material amendments that affect member rights or obligations must be communicated to members directly and take effect no earlier than 30 days after notification.

19. Dispute Resolution

The Foundation seeks to resolve all disputes, grievances, and complaints fairly, promptly, and in good faith. The following process applies:

Step 1 - Informal Resolution: The parties shall first attempt to resolve the matter through direct, good-faith dialogue within 14 days of the dispute arising.

Step 2 - Formal Grievance: If unresolved, the aggrieved party may submit a written formal grievance to the Foundation's Executive Director. A response shall be provided within 21 days.

Step 3 - Board Review: If the matter remains unresolved, it shall be escalated to a designated Board sub-committee for independent review within 30 days.

Step 4 - Mediation: If still unresolved, the parties agree to submit to neutral, third-party mediation before initiating any legal proceedings.

These Terms are governed by the laws of the Republic of Kenya. The courts of Kenya shall have jurisdiction over any unresolved disputes.

20. Dissolution Clause

In the event of dissolution or winding up of the Foundation, all remaining assets, after the satisfaction of all lawful debts and obligations, shall be transferred to one or more non-profit organisations with similar charitable objectives as determined by the Board. No assets shall be distributed to private individuals, Board members, officers, or staff. The dissolution process shall comply fully with the laws of the Republic of Kenya and any applicable international obligations.

21. Limitation of Liability

The Foundation, its Board members, officers, staff, volunteers, and agents shall not be liable for any indirect, consequential, or incidental loss or damage arising from a party's engagement with the Foundation, except where such loss arises from gross negligence, wilful misconduct, or fraud. The Foundation's total liability in any circumstances shall not exceed the value of funds directly received from the relevant party.

22. Official Declaration & Acceptance

Destiny New Hope Foundation affirms its commitment to lawful service, ethical leadership, and global impact for present and future generations. All parties engaging with the Foundation acknowledge that they have read, understood, and agreed to these Terms and Conditions in full.

By becoming a member, making a donation, entering a partnership, or otherwise engaging with Destiny New Hope Foundation, you confirm your acceptance of these Terms and Conditions. ---
